General Terms and Conditions (GTC)

I. Scope of Application

These General Terms and Conditions (GTC) govern all services, offers, and contractual relationships between mintminds AG, Bahnhofstrasse 58, 8001 Zurich, and its clients (hereinafter referred to as the “Client”). By commissioning our services, these terms are deemed accepted. Any deviations require written agreement.

II. Services and Collaboration

mintminds provides consulting, development, and coaching services with a focus on organizations, teams, and leaders. Our work is based on cooperation, personal responsibility, and mutual trust.
We act as process facilitators – implementation and impact remain the responsibility of the Client.

III. Offers, Effort & Fees

Scope of services, objectives, and conditions are individually defined in offers or engagement agreements.
Services are generally charged based on actual time spent (started hours pro rata). Should the estimated time prove insufficient or significantly less than anticipated, mintminds will inform the Client promptly.

Billing is carried out monthly, with a payment term of 30 days net. All prices are exclusive of statutory VAT.

IV. Expenses and Additional Costs

Additional costs (e.g., travel, venue rentals, tools) will only be charged with the Client’s prior agreement.

  • Travel time outside Zurich: CHF 150/hour

  • Train travel: 2nd class, half-fare card

  • Travel by car: CHF 0.70/km (round trip)

V. Cancellation and Withdrawal

Coaching Sessions:
Free of charge up to 24 hours before the appointment (or by Friday 12:00 noon for Monday appointments), thereafter 100% of the fee is due.

Workshops / Seminars / Consulting:

  • Withdrawal more than 30 days before: Only preparation time already incurred will be charged

  • 14–29 days before: 50% of the agreed amount

  • Less than 14 days before or after the project start: 100% of the agreed amount

VI. Confidentiality and Data Protection

mintminds treats all information as confidential – even beyond the end of the project. Mentioning the Client as a reference requires prior written consent.
For data processing, our separate privacy policy in accordance with the revised Swiss Data Protection Act (revDSG) applies.

VII. Liability

mintminds delivers its services to the best of its knowledge but does not guarantee specific results.
To the extent permitted by law, any liability is excluded. In all cases, liability is limited to the agreed fee. The use of electronic communication is at the Client’s own risk.

VIII. Insurance

For internal events (e.g., workshops, training), the Client is the event organizer. Insurance coverage is the responsibility of the participants.

IX. Severability Clause

Should any provision of these GTC be invalid, the validity of the remaining provisions shall remain unaffected. In place of the invalid provision, a regulation that comes as close as possible to the intended economic purpose shall apply.

X. Applicable Law & Place of Jurisdiction

Exclusively Swiss law applies. The place of jurisdiction is Zurich.
